Terms and Conditions

1. Definitions:

• “Company” refers to XESS Exhibitions & Events, the provider of exhibition stand building services.
• “Client” refers to the individual or entity receiving the services from the Company.
• “Services” refer to the exhibition stand design, construction, event production, and related services provided by the Company.

2. Scope of Services:

•  The Company agrees to provide the Client with the services specified in the agreement or proposal.

3. Payment:

• The Client agrees to pay the Company the agreed-upon fees for the services.
• Payment terms, including deposit, installment, or final payment details, will be outlined in the agreement or invoice provided by the Company.

4. Changes and Cancellations:

•  Any changes to the scope of services must be agreed upon in writing by both parties.
• Cancellations are subject to the terms and conditions outlined in the agreement.

5. Intellectual Property:

• Any intellectual property rights related to stand designs and other work produced by the Company shall remain the property of the Company unless otherwise agreed in writing.

6. Liability:

• The Company shall not be liable for any loss, damage, or injury arising from the use of the services.
• The Company’s liability is limited to the fees paid by the Client for the services.

7. Confidentiality:

• Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project.

8. Termination:

• Either party may terminate the agreement with written notice, subject to the terms outlined in the agreement.

9. Governing Law:

• This agreement is governed by the laws of the jurisdiction.

10. Dispute Resolution:

• Any disputes arising from this agreement shall be resolved through negotiation, mediation, or arbitration, as outlined in the agreement.

11. Force Majeure:

• The Company shall not be held liable for any delays or failures to perform its obligations due to circumstances beyond its control, such as acts of nature, government actions, or other unforeseen events.

12. Entire Agreement:

• This agreement constitutes the entire understanding between the parties and supersedes any previous agreements or understandings.

13. Amendments:

• Any amendments to this agreement must be made in writing and signed by both parties.
